- Does not entitle you to future courses, coaching, or training sessions beyond what was purchased.
- Confidentiality obligations survive for two (2) years after completion of training.
2. Intellectual Property & Confidentiality
All materials—including but not limited to videos, slide decks, protocols, dosing guides, business resources, and supporting documents—are the intellectual property of MPC and Dr. Brent Agin.
You agree not to:

- Circumvent MPC’s platform, agreements, or IP protections.
All suggestions, improvements, or feedback you provide may be used by MPC without compensation.
3. Independent Clinical Judgment

- Determining the appropriateness of any therapy for your patients.
- Complying with all applicable federal, state, and local laws.
- Prescribing and dispensing medications according to regulatory requirements.
You acknowledge that many therapies discussed have not been approved by the FDA for the treatment of disease and must only be used in compliance with applicable law.
4. Waiver & Release of Claims
By purchasing and/or using MPC training, you release MPC, its officers, directors, employees, contractors, and affiliates from any liability related to your use of the training, materials, or protocols.
You expressly:
- Assume all risks associated with applying protocols in clinical practice.
- Acknowledge that unauthorized or unsupervised use of protocols is your sole responsibility.
- Waive any claim against MPC for damages, injuries, or losses arising from your use of course content.
5. Indemnification & Limitation of Liability
You agree to indemnify and hold harmless MPC from all claims, damages, or liabilities arising from your use of course content, except where caused by MPC’s gross negligence or willful misconduct.
MPC’s total liability under these Terms is limited to three (3) times the amount you paid for the training.
6. Non-Solicitation
You agree not to solicit, hire, or contract with any MPC employees, contractors, or affiliates for a period of one (1) year after completing training.
7. Marketing & Likeness Release
By participating in MPC training, you grant MPC the right to use your name, business name, and/or likeness in testimonials, photographs, or marketing materials, unless you withdraw this consent in writing.
8. Arbitration & Governing Law
All disputes arising from these Terms shall be resolved by binding arbitration under the expedited rules of the American Health Law Association (AHLA) in Clearwater, Pinellas County, Florida. Either party may seek injunctive relief for IP or confidentiality breaches.
These Terms shall be governed by the laws of the State of Florida.
